Terms of service · effective 2026-09-09

The deal, in the same plain words as the rest.

These are the terms you agree to when you install Proso. They say what the app promises, what it does not, how the money works, and how either of us can walk away. No clause here is a trap.

The short version: install Proso, pick a plan in Shopify, get 30 days free. Proso reads your store and recommends what to order: you approve every order, and the numbers are advice, not a guarantee. Cancel by uninstalling, any day. We can end it too, but only for non-payment or abuse, and we will tell you why.

1. Who these terms are between

These terms are an agreement between Proso ("Proso", "we"), a production and inventory planning app for Shopify operated by its founder, and the business that installs it ("you"). Installing Proso on a Shopify store means you accept them. If you are installing on behalf of a company, you are confirming you are allowed to agree on its behalf.

2. What Proso does

Proso reads your catalog, sales history and inventory from Shopify, and turns them into a plan: what is running out, when, how much to order, and from whom. It also holds the orders you place against that plan, and, on the Full plan, purchase orders, suppliers, materials and the tracking that goes with them.

Proso reads your store. It does not change your storefront, your products, your prices or your stock levels.

3. What Proso does not promise

The numbers are a recommendation, not a forecast you can bank on. They are computed from your own sales history and the settings you choose, and every one of them is editable for exactly that reason. Demand moves, suppliers slip, seasons surprise everybody. You decide what to order and you place the order: Proso never buys anything on your behalf.

So the purchasing decision, and its outcome, stay yours. Stock that arrived late, or arrived and did not sell, is not something we can be responsible for.

4. Your Shopify account

Proso is installed and authenticated entirely through Shopify. You are responsible for who has access to your Shopify admin, because anyone who does can open Proso. If you lose access to your store, we cannot restore access to Proso separately: it lives behind Shopify's door, deliberately.

5. Plans, billing and the trial

Refunds run through Shopify under its own policies. If something went wrong on our side, email us and we will sort it out rather than argue about it.

6. Fair use

Use Proso for your own store or stores. Please do not resell it as your own service, copy it, reverse engineer it, hammer it with automated traffic, or use it to break Shopify's rules or the law. That is the whole list, and it is the only place these terms get restrictive.

7. Your data

Your store's data stays yours. We process it to run the app for you and for nothing else: it is never sold, never shared with advertisers, and never pooled into cross-store benchmarks. What we read, what we store, where it lives and how deletion works are all set out in the privacy policy, which forms part of these terms.

You can ask for an export or a deletion at any time: hello@prosoapp.com.

8. Availability

Proso is a small, focused product run by a small operation. We aim to keep it up and to sync your store every day, and to tell you plainly when something breaks. We do not offer a contractual uptime guarantee, and occasional maintenance or a Shopify API change can interrupt service. Nothing you have entered is lost when that happens.

9. The app is provided as it is

Proso is provided "as is", without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the app will be uninterrupted or error free, or that its recommendations will produce any particular commercial result.

10. Limit of liability

To the maximum extent the law allows, neither side is liable to the other for indirect, incidental, special or consequential damages, or for lost profits, revenue, sales or goodwill, even if warned they were possible. Proso's total liability for any claim relating to the app is limited to the fees you paid for it in the 12 months before the claim arose.

Nothing here limits liability for fraud, or for anything else that cannot lawfully be limited.

11. Ending it

You can end this agreement at any moment by uninstalling Proso from your Shopify admin. We may suspend or end an account for non-payment, for a breach of the fair use section above, or if Shopify requires it, and we will email you the reason. On uninstall your data is retained briefly in case you reinstall, then deleted, exactly as the privacy policy describes.

12. Changes to these terms

If these terms change in a way that matters to you, we will post the new version here with a new effective date and note it in the app. Continuing to use Proso after that means the new version applies. A price change is a different thing: Shopify requires your explicit approval, and no edit to this page can change that.

13. Governing law

These terms are governed by the laws of the jurisdiction in which Proso's operator is established, and any dispute belongs to the courts of that jurisdiction. We would much rather answer your email first: most things turn out to be a misunderstanding that one reply fixes.

14. Contact

Anything at all, including the parts of this page you disagree with: hello@prosoapp.com.

Draft under review. Live for early-access transparency while two details are confirmed: the registered legal entity name (section 1) and the named governing law and courts (section 13). Questions meanwhile: hello@prosoapp.com.
